TERMS OF
SERVICE.
1. Agreement to these terms
These Terms of Service (“Terms”) govern your access to and use of the FWMGAB website, software, dashboards, documentation, and related services (the “Service”). By using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
FWMGAB includes a collaborative operating ledger and a community opportunity board for creators and companies. The ledger is designed to record and present fee-aware allocations, affiliate tiers, sales, refunds, and payout records based on data received from connected services such as Stripe. FWMGAB does not custody customer funds, initiate payment-card transactions, act as a bank, broker, money transmitter, accountant, tax adviser, legal adviser, or fiduciary.
3. Eligibility and account responsibility
You must be at least 18 years old and able to enter a binding agreement to use the Service. You are responsible for activity under your account, keeping your credentials confidential, providing accurate account information, and promptly notifying us of suspected unauthorized use. Workspace owners are responsible for invitations, access permissions, stakeholder identities, offer configurations, split rules, affiliate terms, payout decisions, and the accuracy and legality of data they provide or connect.
4. Stripe and third-party services
Your use of Stripe and other third-party services is governed by their separate terms and privacy policies. You are responsible for maintaining valid Stripe credentials and configuring webhooks correctly. FWMGAB relies on authenticated third-party data and is not responsible for the availability, accuracy, delays, disputes, chargebacks, or actions of Stripe or other providers.
5. Fees and billing
Subscription Tiers. FWMGAB offers the following subscription plans: Starter (free, 1.0% volume fee, capped at $99/month), Pro ($29/month base + 0.5% volume fee, capped at $199/month, 5-day free trial), Scale ($99/month base + 0.25% volume fee, capped at $499/month, 5-day free trial), and Enterprise (custom pricing). FWMGAB also offers Launch Mode, a one-time $99 fee per launch plus 0.5% volume fee with no monthly commitment.
Volume Fee Calculation. The volume fee is calculated as a percentage of your tracked gross sales processed through your connected Stripe account. The fee accrues in real time as charge.succeeded events are processed by the FWMGAB ledger engine. Refunded transactions do not count toward your tracked volume. Volume fees are reported to Stripe's metered billing system and appear on your monthly Stripe invoice alongside your base subscription charge.
Monthly Billing Cap. Each tier includes a hard monthly cap on your total bill (base fee + volume fees). Once your cumulative volume fees reach the cap for your billing period, no additional volume fees accrue for the remainder of that period. The cap is enforced in FWMGAB's application layer before any usage is reported to Stripe. You will never be billed above your tier's stated cap. Your Stripe invoice will reflect the cap and any savings from volume that exceeded the cap threshold.
Billing Period and Proration. Billing periods are monthly, starting from the date you subscribe. If you upgrade tiers mid-cycle, the new tier takes effect immediately and your cap is prorated for the remaining days in the billing period. Downgrades take effect at the start of your next billing cycle. Launch Mode provides access for 30 days from the launch start date.
Taxes. All fees are exclusive of applicable taxes, which will be added to your invoice where required by law. You are responsible for any sales, use, value-added, or similar taxes imposed on your use of the Service.
Payment Method. You must maintain a valid payment method on file with Stripe. If your payment method fails, we may suspend your access until payment is resolved. Stripe's terms and privacy policy govern the processing of your payment information.
Fee Changes. We may change our fees prospectively on 30 days' notice. Fee changes do not apply to the current billing period. If you do not agree to a fee change, you may cancel your subscription before the change takes effect.
No Refunds. Except as required by law or as explicitly stated in a separate agreement, subscription fees are non-refundable. The 5-day free trial on Pro and Scale plans requires a valid payment method; if you cancel before the trial ends, you will not be charged.
6. Acceptable use
You may not use the Service to violate law, infringe rights, process fraudulent transactions, misrepresent payout obligations, interfere with the Service, attempt unauthorized access, transmit malware, reverse engineer except where law permits, or use the Service in a way that creates security, regulatory, or reputational harm. You may not use the community board to request, arrange, promote, or facilitate illegal activity, fraud or scams, exploitation, trafficking, unauthorized access, or the sale of illegal goods or services.
7. Community content and moderation
You retain responsibility for the opportunities, reports, and other content you submit. You grant FWMGAB a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and use that content as needed to operate, promote, secure, and improve the community board. We may use a limited automated screen for obvious requests to facilitate illegal activity, accept member reports, and restrict, remove, restore, archive, or otherwise review content in our reasonable discretion. These measures are not a guarantee that all inappropriate, deceptive, harmful, or unlawful content will be detected or removed.
8. Community reports and interactions
Do not submit knowingly false or abusive reports. If you choose to contact another community member or pursue a collaboration, you are responsible for your own due diligence, agreements, communications, and decisions. FWMGAB does not endorse, verify, employ, represent, or guarantee any community member, opportunity, offer, claim, or outcome.
9. Ledger records and payout decisions
The Service provides operational records based on configured rules and received data. You must independently review the ledger before making payouts, tax filings, accounting entries, legal commitments, or financial decisions. Split rules and payout records are not a substitute for written agreements among stakeholders or professional advice.
10. Intellectual property
FWMGAB and its licensors retain all rights in the Service, software, branding, documentation, and content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FWMGAB DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED AVAILABILITY.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FWMGAB WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION. THE FINAL COMMERCIAL TERMS SHOULD SPECIFY ANY APPLICABLE LIABILITY CAP AND EXCLUSIONS.
13. Indemnity
You agree to defend, indemnify, and hold harmless FWMGAB and its personnel from claims, liabilities, damages, losses, and expenses arising from your community content, workspace data, stakeholder agreements, Stripe configuration, use of the Service, or violation of these Terms or applicable law.
14. Suspension, termination, and changes
We may suspend or terminate access, limit community posting, or remove content where reasonably necessary to protect the Service, users, or third parties; comply with law; investigate a report; or address a breach of these Terms. We may change the Service or Terms from time to time. Material changes will be posted or otherwise communicated as appropriate.
15. Governing law and contact
